Club Constitution
- Title
- The Club shall be called "Burton Leonard Cricket Club".
- The Club's colours shall be sky blue and navy blue.
- Objects
- To foster and promote the sport of cricket at all levels in Burton Leonard and the surrounding area.
- To provide cricket coaching and competition at all levels, including junior level.
- To organise fund-raising activities for the benefit of the Club, the sport of cricket or such other charitable or community object as the Club thinks fit.
- Membership
- Membership of the Club shall be open to any person, regardless of race, age, gender, sexual orientation or ability, who pays the relevant annual subscription as determined by the Members at the Annual General Meeting ("AGM").
- There shall be the following classes of membership:
- Life Member: Life members shall be appointed at the discretion of and by the members at the AGM in recognition of exceptional services to the Club and/or cricket. A Life Member shall not be required to pay a subscription.
- Full Member: Full members are members (not being life or student members) who are over the age of fifteen years on the 30th September of the current year.
- Student Member: Student members are members (not being life members) who are under the age of twenty-five years but over the age of fifteen years on the 30th September of the current year and are in full-time education.
- Junior Member: Junior members are members (not being life members) who are under the age of fifteen years on the 30th September of the current year.
- Any player who accepts invitations to play a minimum of four matches for the Club in a season shall be deemed to be a member of the Club (and to be liable to pay the appropriate subscription).
- The Secretary shall maintain a list of Club members.
- Officers
- The Officers of the Club shall be as follows:
President
Chairman or Chairwoman ("the Chair")
Secretary
Treasurer
- All Officers of the Club shall be elected at the Annual General Meeting from and by the Members.
- All Officers are elected to serve for one year, but may be re-elected to the same office or another office the following year.
- The General Committee
- The affairs of the Club shall be controlled by a General Committee comprising the Officers of the Club and three other Members of the Club.
- The Committee Members shall be elected at the Annual General Meeting from and by the Members.
- All Committee Members are elected to serve for one year, but may be re-elected at subsequent Annual General Meetings.
- The General Committee shall meet as and when it thinks fit but not less than once a year.
- The duties of the General Committee shall be:
- to control the affairs of the Club on behalf of the Members.
- to keep accurate accounts of the finances of the Club through the Treasurer. These should be available for reasonable inspection by Members and should be audited before every Annual General Meeting. The Club shall maintain a bank current account and/or such other accounts as the Treasurer deems necessary. The following Officers shall be authorised to sign Club cheques: any two from the Chair, Treasurer and Secretary.
- to co-opt additional members of the Committee as the Committee feels is necessary. Co-opted members shall not be entitled to a vote on the Committee.
- to make decisions on the basis of a simple majority vote. In the case of equal votes, the Chair shall be entitled to an additional casting vote.
- Team Captains
- At the Annual General Meeting, the Members shall determine which teams shall compete in the following cricket season.
- The Captains and Vice-Captains of each such team shall be elected at the AGM from and by the Members.
- Subscriptions and Match Fees:
- All full and student members of the Club must pay an annual subscription. The level of subscription for each year will be determined by the members at the preceding AGM.
- Life members do not pay any subscription.
- Match Fees shall also be payable by all Club players. The amount of the match fee will be determined by the members at the preceding AGM.
- It is the duty of the team captain to collect match fees from the players and to account for the same to the Treasurer.
- General meetings
- The AGM shall be held between 30 September and 31 December each year. Fourteen clear days' written notice of the date time and place of the AGM shall be given to Members by circulating a copy of the notice to every Member (by post fax or e-mail) and by posting the notice on a notice board in Burton Leonard.
- Members must advise the Secretary in writing of any business to be moved at the AGM at least 7 days beforehand. The Secretary shall circulate or give notice of the agenda for the meeting to Members not less than 3 days before the meeting.
- The business of the AGM shall be to:
8.3.1 confirm the minutes of the previous AGM and any General Meetings held since the last AGM.
8.3.2 receive the audited accounts for the year from the Treasurer.
8.3.3 receive the annual report of the Committee from the Secretary.
8.3.4 elect or re-elect an auditor to audit the next annual accounts.
8.3.5 elect or re-elect the Officers of the Club and other General Committee Members.
8.3.6 review the subscription rates and match fees in accordance with paragraph 7 above.
8.3.7 transact such other business received in writing by the Secretary from Members in accordance with paragraph 8.2 above.
8.3.8 conduct any other business as the Members think fit.
- An Extraordinary General Meeting ("EGM") may be convened by the General Committee. Alternatively, an EGM shall be convened on receipt by the Secretary of a request in writing from not less than 10 Full or Student Members of the Club. At least 14 days' notice of the meeting shall be given. Notice of such meeting shall be given in the same manner as the AGM.
- Nominations for each post on the General Committee shall be by proposal by a Full or Student Member. The proposal must be seconded by another Full or Student Member.
- Decisions made at an AGM or EGM shall be by a simple majority of votes from those Full and Student Members who attend. In the event of equal votes, the Chair shall be entitled to an additional casting vote.
- A quorum for an AGM or EGM shall be 10 Full and Student Members including at least one Officer of the Club.
- The Secretary (or, in his absence, a Full or Student Member nominated by him) shall take minutes of all AGM's, EGM's and General Committee meetings.
- Awards
- Whenever possible, prizes will be awarded each year to Club Members for cricketing performance. The criteria for each prize will be decided at the previous year's AGM.
- Discipline
- All matters of discipline shall be referred to the Disciplinary Committee and dealt by that committee in accordance with the English Cricket Board's guidelines on club discipline.
- The Disciplinary Committee shall consist of a sub-committee appointed by and from the Officers and General Committee Members.
- This sub-committee shall consist of at least three such persons and shall be, if possible, be chaired by an Officer.
- Decisions made by this sub-committee shall be by a simple majority of votes cast by those attending the meeting. In the event of equal votes, the Officer chairing the sub-committee shall be entitled to an additional casting vote.
- Finance
- The income and property of the Club shall be applied solely towards promoting the Club's objects as set out in paragraph 2 above.
- The financial year of the Club shall commence on 1st October.
- Honorary Vice Presidents
- Honorary Vice Presidents ("VP's") shall be such persons who, whilst not being Members of the Club, have significantly supported or assisted it.
- A VP shall be appointed at the discretion of and by the Full and Student Members at the AGM.
- Appointment as a VP shall not confer rights of membership.
- Amendment to the Constitution
- Any proposed amendment to the Constitution may only be considered at an AGM or EGM. Any such amendment must be proposed by a Full or Student Member and seconded by another. Such amendment shall only be passed if supported by not less than two-thirds of those Full and Student Members present at the meeting, assuming that a quorum has been achieved.
- Dissolution
- If, at a meeting of the General Committee, an AGM or an EGM, a resolution be passed calling for the dissolution of the Club, the Secretary shall immediately convene an EGM to be held not less than one month thereafter to discuss and vote on the resolution.
- If, at that EGM, the resolution is carried by at least two-thirds of the Full and Student Members present at the meeting, the General Committee shall thereupon, or at such date as shall have been specified in the resolution, proceed to realise the assets of the Club and to discharge all its debts and liabilities.
- After discharging all debts and liabilities of the Club, the remaining assets shall not be paid or distributed amongst the Members of the Club, but shall be transferred to the Burton Leonard Sports Field Trust on that Trust's agreement that the money will be held by the Trust and transferred (together with accruing interest) to any new Cricket Club being re-formed in Burton Leonard.
- In default of such agreement with the Trust, the remaining assets shall be transferred to any other party deemed suitable at the final EGM and who is prepared to hold the assets as stated above.
- In default of any such agreement proving possible as above, the remaining assets shall be given to such other charitable or sporting organisation or organisations (having objects similar to those of the Club) as may be determined at the final EGM.
- Child Welfare Officer
- The General Committee shall ensure that a qualified and registered Child Welfare Officer be in office at all times.
- The duties of this Officer shall be to
- ensure the club has a Child Protection Policy and implementation plan.
- ensure Codes of Conduct are well publicised and adhered to.
- in consultation with the NACL Welfare Officer, ensure all reported incidents are managed at the appropriate level in line with English Cricket Board procedures.
- ensure all relevant club members are aware of training opportunities.
- ensure all parents are aware of the club policy on Child Protection and the correct protocols for voicing concerns.
- be aware of local Social Services and Area Child Protection Committee contacts.
